These Terms of Service ("Terms") govern your access to and use of the Threshold website, hosted pages, forms, software, and related services (collectively, the "Services") provided by Threshold Inc. ("Threshold," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, do not use the Services.
1. Overview of the Services
Threshold provides a platform used to collect, review, and evaluate partnership inquiries and related information, including through hosted intake forms and related workflows.
The Services may include tools that help brands and other users review submissions, assess partnership fit, analyze publicly available social media information, and support internal decision-making.
2. Eligibility
You may use the Services only if you are legally able to enter into a binding contract under applicable law.
If you use the Services on behalf of a company, brand, or other organization, you represent and warrant that you have authority to bind that entity to these Terms, and "you" will include that entity.
3. Changes to the Services
We may modify, suspend, or discontinue all or any part of the Services at any time, with or without notice.
We may also update or change features, functionality, or technical requirements from time to time.
4. Accounts and Access
Some parts of the Services may require you to create an account or provide certain information.
You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must promptly notify us if you believe your account has been accessed or used without authorization.
5. Acceptable Use
You agree not to:
- use the Services in violation of any applicable law or regulation
- submit false, misleading, or fraudulent information
- impersonate any person or entity
- interfere with or disrupt the operation or security of the Services
- attempt to gain unauthorized access to any account, system, or data
- scrape, copy, reverse engineer, or exploit the Services except as expressly permitted by law
- upload or transmit malware, malicious code, or harmful material
- use the Services to infringe, misappropriate, or violate the rights of any third party
- use the Services to send spam or unauthorized communications
We may suspend or terminate access if we believe you have violated these Terms.
6. Submissions and User Content
You may provide information, text, links, handles, profile information, messages, or other materials through the Services ("User Content").
You retain ownership of your User Content, subject to the rights you grant below.
By submitting User Content through the Services, you grant Threshold a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, transmit, and use that User Content as necessary to:
- operate and provide the Services
- review and evaluate partnership submissions
- analyze brand fit, suitability, and related signals
- communicate regarding a submission
- improve and maintain the Services
- comply with legal obligations
- enforce these Terms
You represent and warrant that:
- you own or control the necessary rights to the User Content you submit
- your User Content does not violate applicable law
- your User Content does not infringe or misappropriate any third-party rights
- the information you submit is, to the best of your knowledge, accurate and not misleading
7. Publicly Available Information
If you provide social media handles, profile URLs, or similar identifiers, you acknowledge that Threshold may collect and analyze publicly available information associated with those profiles in connection with the Services.
8. Automated Analysis
The Services may use automated tools and systems to analyze submitted information and associated publicly available information, including for purposes such as evaluating partnership fit, content relevance, audience characteristics, engagement patterns, and other suitability indicators.
You acknowledge that automated outputs are intended to support evaluation workflows and may be used as part of a broader review process.
Threshold does not guarantee that automated analyses, scores, recommendations, or outputs are complete, error-free, or appropriate for any particular purpose.
9. Privacy
Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, store, and protect personal information.
Please review the Privacy Policy carefully.
10. Intellectual Property
The Services, including all software, designs, text, graphics, branding, interfaces, workflows, compilations, and other content provided by Threshold, are owned by Threshold or its licensors and are protected by intellectual property and other applicable laws.
Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.
You may not copy, modify, distribute, sell, lease, sublicense, publicly display, or create derivative works from the Services except as expressly permitted by us in writing or by applicable law.
11. Feedback
If you provide suggestions, ideas, comments, or other feedback regarding the Services, you grant Threshold a non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, and incorporate that feedback for any lawful purpose without compensation or attribution to you.
12. Third-Party Services
The Services may rely on or integrate with third-party providers, platforms, websites, or infrastructure.
Threshold is not responsible for third-party services, content, policies, or practices, and your use of third-party services may be subject to separate terms and policies.
13. Disclaimers
The Services are provided "as is" and "as available."
To the maximum extent permitted by law, Threshold disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing, Threshold does not warrant that:
- the Services will be uninterrupted, secure, or error-free
- the Services will meet your requirements or expectations
- any analysis, score, output, or result will be accurate, complete, or reliable
- any defects or errors will be corrected
14. Limitation of Liability
To the maximum extent permitted by law, Threshold and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of or inability to use the Services.
To the maximum extent permitted by law, the total liability of Threshold for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:
- one hundred U.S. dollars (US $100), or
- the amount you paid to Threshold, if any, for the Services in the twelve (12) months preceding the event giving rise to the claim
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Threshold and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees, including reasonable attorneys' fees, arising out of or related to:
- your use of the Services
- your User Content
- your violation of these Terms
- your violation of applicable law
- your violation of any third-party right
16. Suspension and Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe:
- you have violated these Terms
- your use of the Services creates risk for Threshold, other users, or third parties
- suspension or termination is required by law or for security reasons
You may stop using the Services at any time.
Any provisions of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
17. International Use
The Services are operated from the United States and may be hosted or processed in the United States.
If you access or use the Services from outside the United States, you do so at your own risk and are responsible for compliance with applicable local laws.
18. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
Subject to any applicable law to the contrary, any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles, California, and you consent to the personal jurisdiction and venue of those courts.
19. Dispute Resolution
Before filing a claim, you agree to first contact us and attempt to resolve the dispute informally by sending written notice to hello@getthreshold.io.
If the dispute is not resolved within thirty (30) days after notice, either party may pursue any remedy available at law or in equity, except as otherwise agreed in writing.
20. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we will post the revised Terms on this page and update the "Last Updated" date above. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the updated Terms.

These Terms, together with our Privacy Policy and any additional terms that apply to specific features or services, constitute the entire agreement between you and Threshold regarding the Services and supersede any prior or contemporaneous understandings relating to the Services.
23. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Any failure by Threshold to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
